Terms of Service

1. Acceptance of Terms
By accessing or using Subprime Pro ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform. These terms apply to all users, including dealerships, individual staff members, and administrators.
2. Description of Service
Subprime Pro is a SaaS (Software as a Service) platform designed for automotive dealerships. It provides tools for customer relationship management, deal structuring, inventory management, lender policy intelligence, communications, and financial reporting. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
3. Account Registration
To use the Platform, you must register for an account. You agree to: • Provide accurate and complete information during registration • Keep your login credentials confidential • Notify us immediately of any unauthorized account access • Be responsible for all activities that occur under your account Accounts are for your dealership's internal use only and may not be shared with or transferred to third parties.
4. Subscription and Billing
Access to the Platform requires a paid subscription. By subscribing, you agree to: • Pay all applicable fees as described in your selected plan • Provide valid payment information • Authorize us to charge your payment method on a recurring basis Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial billing periods. Pricing is subject to change with 30 days' notice.
5. Acceptable Use
You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You agree NOT to: • Use the Platform to violate any law or regulation • Misrepresent your identity or affiliation • Transmit harmful, offensive, or unlawful content • Attempt to gain unauthorized access to any part of the Platform • Reverse engineer, copy, or redistribute any part of the Platform • Use the Platform in any way that could harm its availability or performance
6. Data Ownership
You retain ownership of all customer data, deal records, and business information you enter into the Platform. By using the Platform, you grant us a limited license to process this data solely for the purpose of providing the service. We will not use your proprietary business data for any purpose other than operating and improving the Platform.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the business relationship. This includes pricing, business strategies, customer data, and technical specifications of the Platform.
8. Intellectual Property
All intellectual property rights in the Platform, including software, design, trademarks, and content created by Subprime Pro, remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the Platform during your active subscription.
9. Limitation of Liability
To the maximum extent permitted by law, Subprime Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability shall not exceed the amount you paid for the service in the 3 months preceding the claim. The Platform is provided "as is" without warranties of any kind, express or implied.
10. Indemnification
You agree to indemnify and hold harmless Subprime Pro and its officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate the subscription at any time. Upon termination: • Your access to the Platform will be suspended at the end of the billing period • We will retain your data for 90 days before deletion • You may request an export of your data within the 90-day retention window We reserve the right to suspend or terminate your account immediately if you violate these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. Any disputes shall be resolved in the courts of British Columbia.
13. Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes via email or in-platform notification. Your continued use of the Platform after such notice constitutes acceptance of the updated Terms.
